Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SCM Automation ("Company," "we," "us," or "our") governing your access to and use of our browser automation software, website, applications, and related services (collectively, the "Services").
By creating an account, downloading our software, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
Eligibility and Account Requirements
Age Requirement
You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts.
Account Registration
To access certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access or security breaches
- Accept responsibility for all activities that occur under your account
Business Accounts
If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall include both you as an individual and the entity you represent.
License and Permitted Use
License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes. This license does not include any rights to:
- Resell, sublicense, or distribute the Services to third parties
- Modify, reverse engineer, decompile, or disassemble the software
- Remove or alter any proprietary notices or labels
- Use the Services to develop competing products or services
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to access or automate interactions with websites in violation of their terms of service
- Engage in scraping, harvesting, or collecting data without proper authorization
- Attempt to gain unauthorized access to our systems or other users' accounts
- Transmit viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of our Services
- Use the Services for fraudulent, deceptive, or malicious activities
- Automate spam, phishing, or other prohibited communications
Subscription Plans and Billing
Subscription Tiers
SCM Automation offers various subscription plans with different features and usage limits. Details of available plans, pricing, and features are available on our website and may be updated from time to time.
Payment Terms
- Billing Cycle: Subscriptions are billed monthly or annually based on your selected plan
- Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
- Payment Methods: We accept major credit cards and other payment methods as indicated
- Price Changes: We reserve the right to modify pricing with 30 days' notice to active subscribers
- Taxes: Prices are exclusive of applicable taxes, which will be added as required by law
Free Trial
We may offer a free trial period for new users. After the trial period ends, your account will be automatically charged unless you cancel before the trial expiration date. Free trials are limited to one per user.

Intellectual Property Rights
Our Property
The Services, including all software, code, designs, graphics, text, and other content, are owned by SCM Automation and protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted to you are reserved by us.
Your Content
You retain ownership of automation scripts, workflows, and data you create using our Services ("User Content"). By using our Services, you grant us a limited license to:
- Store, process, and transmit Your Content to provide the Services
- Create backup copies for disaster recovery purposes
- Use anonymized, aggregated data for analytics and service improvement
You represent and warrant that you have all necessary rights to Your Content and that it does not violate any third-party rights or applicable laws.
Feedback
If you provide suggestions, ideas, or feedback about our Services, we may use such feedback without any obligation to you, including for developing and improving our products.
Data Privacy and Security
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement industry-standard security measures to protect your data, including:
- 256-bit SSL/TLS encryption for data in transit
- AES-256 encryption for data at rest

- Regular security audits and penetration testing
- Multi-factor authentication options
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Service Availability and Support
Service Level
We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice when possible.

Service Modifications

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT RESPONSIBLE FOR DAMAGES CAUSED BY YOUR VIOLATION OF THESE TERMS OR THIRD-PARTY TERMS OF SERVICE
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless SCM Automation, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your violation of applicable laws or regulations
- Your Content or automation activities
Termination
Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing period.
Termination by Us
We may suspend or terminate your access to the Services immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your account has been inactive for an extended period
- We are required to do so by law
- Your payment method fails or your account is past due
- We detect fraudulent, abusive, or illegal activity
Effect of Termination
Upon termination, your right to access and use the Services will immediately cease. We will delete your account data within 90 days of termination, except where required to retain it by law.
Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Arbitration Agreement
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if they qualify.
You agree to waive any right to a jury trial or to participate in a class action lawsuit. The arbitration will be conducted in San Francisco, California, or remotely by mutual agreement.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SCM Automation regarding the Services.
Amendments
We may modify these Terms at any time. We will notify users of material changes via email or through a notice in the Services. Continued use after changes become effective constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
